By creating an account, accessing, or using this Platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not register or use the Platform.

1. Eligibility

By registering an account, you represent that:

• You are at least 13 years old, or you have obtained consent from a parent or legal guardian where required by applicable law.
• The information you provide is accurate and truthful.
• You are responsible for maintaining the security of your account.

2. Purpose of the Platform

This Platform is intended solely for:

• Guild management
• Account management
• Member organization
• Attendance tracking
• Event scheduling
• Resource and contribution tracking
• Guild accounting and treasury management
• Other MMO-related administrative features

The Platform is not affiliated with, endorsed by, or sponsored by any game publisher unless explicitly stated.

3. Account Responsibilities

You agree that:

• You are responsible for all activities under your account.
• You will not share your login credentials.
• You will immediately notify us if you believe your account has been compromised.

4. Acceptable Use

You agree NOT to:

• Use the Platform for any unlawful, fraudulent, or unauthorized purpose.
• Upload viruses, malware, ransomware, or any other malicious software.
• Attempt to gain unauthorized access to the Platform, its servers, databases, or other users' accounts.
• Interfere with, disrupt, or degrade the operation or security of the Platform.
• Create multiple accounts to abuse promotions, features, or system limitations.
• Use bots, automated scripts, macros, or similar technologies unless expressly authorized in writing.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the Platform's source code or underlying technology.
• Circumvent, disable, or bypass any security feature or access control implemented by the Platform.
• Access, scrape, crawl, harvest, extract, copy, or systematically collect data, content, or information from the Platform using automated or manual means without prior written authorization.
• Use the Platform in any manner that infringes upon the intellectual property or other rights of the Platform or any third party.

Violation of these rules may result in suspension or permanent termination.

5. User Content

You retain ownership of any content you submit, including:

• Guild names
• Member lists
• Event schedules
• Financial records
• Notes
• Images
• Messages

However, by submitting content, you grant us a non-exclusive, worldwide, royalty-free license to store, process, display, transmit, and back up such content solely for the purpose of operating, maintaining, improving, and securing the Platform.

You are responsible for ensuring your submitted content does not violate any laws or third-party rights.

6. Data Ownership

Guilds and their members retain ownership of all information they submit to the Platform, including guild records, accounting data, member information, attendance records, event schedules, uploaded files, and other user-generated content.

The Platform does not claim ownership of your data. We receive only the limited rights necessary to store, process, display, transmit, and back up your information for the purpose of providing the requested services.

Nothing in these Terms transfers ownership of your content to the Platform.

7. Data Privacy and Confidentiality

We recognize that information stored on the Platform—including guild rosters, financial records, event schedules, member activity, strategies, and other guild-related data—may be sensitive or confidential.

We are committed to protecting your information and will not access, disclose, use, or share your guild data for personal gain, competitive advantage, or any purpose unrelated to operating, maintaining, securing, or improving the Platform.

Access to user data by the Platform owner, developers, or authorized administrators is strictly limited to situations where it is reasonably necessary to:

• Maintain or troubleshoot the Platform.
• Investigate bugs, security incidents, or reports of abuse.
• Restore lost or corrupted data when requested by users.
• Respond to user support requests.
• Comply with applicable laws or lawful requests from authorities.
• Perform system maintenance, security monitoring, backups, or migration.

The Platform owner and development team do not routinely monitor or review guild information. Access to user data occurs only when reasonably necessary to provide technical support, resolve operational issues, or protect the security and integrity of the Platform.

We do not sell, rent, license, or otherwise disclose user data to third parties, nor do we share guild information with other users, guilds, alliances, competitors, or any unauthorized person.

If any member of the Platform owner, development team, or administrative staff is also an active player in the same game or a competing guild, they remain bound by the same confidentiality obligations. Any intentional misuse, unauthorized disclosure, or use of confidential guild information for personal, competitive, or financial advantage is strictly prohibited.

Where technically feasible, administrative access to sensitive data is restricted using role-based permissions, and access may be logged for security and auditing purposes.

We implement reasonable technical, administrative, and organizational safeguards to protect user data against unauthorized access, disclosure, alteration, or destruction. While no online service can guarantee absolute security, we continuously work to maintain the confidentiality, integrity, and availability of your information.

8. Guild Ownership and Administration

Guild leaders or designated administrators are responsible for:

• Managing guild data.
• Assigning permissions.
• Inviting members.
• Removing members.

The Platform is not responsible for disputes involving guild leadership, ownership, promotions, demotions, membership decisions, or internal guild governance.

9. Financial Features

If the Platform provides accounting, treasury, or financial management tools:

Financial information is entered and maintained solely by users.

The Platform does not audit or verify the accuracy of any financial records.

Guild leaders and authorized officers remain solely responsible for managing guild assets and finances.

The Platform shall not be liable for losses arising from inaccurate, incomplete, or fraudulent information entered by users.

10. Premium Features

Certain features, services, or functionality of the Platform may require payment, a subscription, or the purchase of premium access.

Unless otherwise required by applicable law:

• Fees, subscriptions, and other payments are generally non-refundable once the purchased service, subscription, or premium access has been activated, delivered, or otherwise made available to you.
• Refunds, if any, shall be granted only where required by applicable law or at the sole discretion of the Platform owner.
• Pricing, subscription plans, billing methods, available features, and premium offerings may be introduced, modified, or discontinued at any time upon reasonable notice.
• Premium access grants you a limited, non-exclusive, non-transferable, revocable license to use the applicable premium features during the applicable subscription or access period. Premium access does not transfer ownership of the Platform, its software, or any intellectual property rights.
• Premium features may be subject to usage limits, eligibility requirements, or additional terms that will be communicated where applicable.
• Failure to pay applicable fees when due may result in the suspension or termination of premium access until payment has been successfully received.

Payment Disputes and Chargebacks

If a payment is reversed, disputed, charged back, canceled, or determined to have been made through fraudulent, unauthorized, or unlawful means, the Platform reserves the right, to the fullest extent permitted by applicable law, to:

• Suspend or terminate your account.
• Immediately revoke access to premium features or subscriptions.
• Remove or restrict access to benefits obtained through the disputed payment.
• Recover any unpaid amounts or costs incurred as a result of the payment dispute where permitted by law.
• Refuse future purchases, subscriptions, or access to paid services.

11. Intellectual Property and Restricted Use

All software, source code, databases, designs, user interfaces, workflows, graphics, logos, trademarks, branding, documentation, reports, templates, and other original content or functionality made available through the Platform (collectively, “Platform Materials”) remain the exclusive property of the Platform owner unless otherwise stated.

Without prior written permission, you may not:

• Copy, reproduce, republish, distribute, or publicly display any Platform Materials.
• Modify, adapt, translate, decompile, reverse engineer, or create derivative works based on the Platform or its software.
• Extract, scrape, harvest, download, or systematically collect data, layouts, templates, reports, or other content from the Platform using automated or manual means.
• Use the Platform, its content, workflows, database structures, accounting systems, attendance systems, or other proprietary features to develop, market, operate, or assist a competing product or service.
• Sell, sublicense, rent, lease, or otherwise commercially exploit any portion of the Platform or its proprietary materials.

Competitive Use Restriction. You agree not to copy or substantially reproduce the Platform’s unique designs, workflows, organizational systems, documentation, or other proprietary methods for the purpose of creating or operating a competing guild-management, MMO-management, accounting, attendance, or treasury-management service.

Nothing in this section prevents users from independently developing their own ideas, tools, or services without copying or using the Platform Materials.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy.

By using the Platform, you consent to the collection and processing of information necessary to provide the services described in these Terms and the Privacy Policy.

13. Data Storage and Backups

The Platform may store:

• Guild information
• User profiles
• Attendance records
• Financial records
• Uploaded files
• Activity logs
• Configuration settings

Although we perform reasonable backup and recovery procedures, we cannot guarantee that data loss will never occur.

Users are encouraged to maintain their own backups of important records.

14. Availability of Service

We strive to provide reliable and continuous service but do not guarantee uninterrupted availability.

The Platform may experience maintenance, updates, outages, performance issues, or unforeseen interruptions without prior notice.

15. Account Suspension or Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms.
• Abuse or exploit the Platform.
• Attempt unauthorized access.
• Engage in fraud.
• Harass or threaten other users.
• Compromise the security or stability of the Platform.

Serious violations may result in immediate termination without prior notice.

16. Limitation of Liability

To the fullest extent permitted by applicable law, the Platform, its owner, developers, employees, and affiliates shall not be liable for:

• Loss of guild funds.
• Loss of virtual items or in-game currency.
• Incorrect accounting records.
• Guild disputes.
• Data loss.
• Service interruptions.
• Lost profits.
• Indirect, incidental, consequential, special, or punitive damages arising from the use of the Platform.

Your use of the Platform is at your own risk.

17. Third-Party Services

The Platform may integrate with third-party services such as game APIs, Discord, Google, or other external services.

The Platform is not responsible for changes, outages, restrictions, or discontinuation of any third-party service.

18. Disclaimer

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.

We do not guarantee that:

• The Platform will always be available.
• The Platform will be error-free.
• All bugs will be corrected immediately.
• Data will never be lost.
• The Platform will meet every user's expectations or requirements.

19. Changes to These Terms

We may modify these Terms from time to time.

Material changes will become effective upon publication on the Platform or through other reasonable notice.

Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

22. Survival

The provisions relating to Intellectual Property, Data Ownership, Data Privacy and Confidentiality, Financial Features, Limitation of Liability, Disclaimer, Governing Law, payment obligations, and any provisions that by their nature are intended to survive shall remain in full force and effect even after the suspension, termination, or deletion of a user's account or the discontinuation of the Platform.

23. Feedback and Suggestions

The Platform welcomes feedback, suggestions, ideas, feature requests, bug reports, and other recommendations from users.

If you voluntarily submit any feedback or suggestions regarding the Platform, you acknowledge and agree that:

• Your submission is entirely voluntary.
• You grant the Platform owner a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable, and non-exclusive license to use, reproduce, modify, adapt, publish, distribute, incorporate, commercialize, or otherwise exploit such feedback for any lawful purpose.
• You are not entitled to any compensation, royalties, ownership interest, or attribution arising from the Platform's use of your feedback.

This section does not affect your ownership of content that you upload as User Content under these Terms.

24. Monitoring and Enforcement

To maintain the security, integrity, reliability, and proper operation of the Platform, we reserve the right to investigate suspected violations of these Terms.

Where reasonably necessary, we may review account activity, audit logs, system records, access logs, and other technical information solely for the purposes of:

• Detecting fraud, abuse, or unauthorized access.
• Investigating security incidents or suspected violations of these Terms.
• Responding to user support requests.
• Protecting the Platform, its users, and its infrastructure.
• Complying with applicable laws, legal obligations, or lawful requests from governmental authorities.

Such monitoring will be conducted only to the extent reasonably necessary and in accordance with our Privacy Policy and applicable data protection laws.

25. Beta Features

From time to time, the Platform may provide access to experimental, preview, or beta features for evaluation and testing purposes.

Beta features are provided on an “AS IS” and “AS AVAILABLE” basis and may contain bugs, errors, incomplete functionality, or other issues that could affect the operation of the Platform.

The Platform owner may modify, suspend, restrict, or discontinue any beta feature at any time, with or without notice, and without liability.

Your use of beta features is entirely voluntary and subject to these Terms and Conditions.

26. Business Continuity and Data Export

In the event that the Platform is permanently discontinued, we will make reasonable efforts, where technically and commercially feasible, to provide users with advance notice and an opportunity to export or retrieve their data.

Nothing in this section guarantees that the Platform will continue operating indefinitely or that data will remain available for any specific period. Users remain responsible for maintaining their own backups of important information.

The Platform owner reserves the right to discontinue the Platform, in whole or in part, at any time, subject to applicable law.
